Terms of Service

These Terms of Service constitute a legally binding agreement between Woctor and the healthcare providers using our platform. Please read them carefully.

1. Agreement and Acceptance

These Terms of Service ('Terms') constitute a legally binding agreement between Woctor ('we', 'our', or 'us') and the healthcare providers, medical practitioners, clinics, hospitals, diagnostic centers, pharmacies, and any other entities or individuals (collectively, 'Providers', 'you', or 'your') who access, use, or interact with our digital infrastructure, clinical management tools, marketing automation services, website development platforms, and patient engagement systems (the 'Services' or 'Platform'). By utilizing Woctor's services, subscribing to any service plan, or accessing any part of the platform, you agree to comply with these Terms, our Privacy Policy, our Security Policy, and any additional technical or operational policies incorporated by reference.

2. Scope of Services

Woctor provides a managed Digital Experience Platform (DXP) designed specifically for healthcare environments. Our core service offerings include the development and maintenance of professional clinical websites, the implementation of automated patient engagement workflows, the deployment of patient acquisition systems, the management of Electronic Medical Records (EMR), and the provision of teleconsultation infrastructure. These services are provided as a Software-as-a-Service (SaaS). We reserve the right to modify, enhance, or discontinue specific features of the Platform at our discretion.

3. Governance and Acceptable Use Policy (AUP)

All Users of the Platform must utilize the Services in a professional manner and in compliance with all applicable laws, including the Information Technology Act, 2000, and relevant medical ethics guidelines. Prohibited activities include:

Transmission of any content that is defamatory, obscene, or infringing on intellectual property.

Attempting to bypass security measures or gain unauthorized access to other users' data.

Using the Platform to distribute unsolicited commercial communications (SPAM).

Misrepresenting professional credentials or identity.

Any activity that could disrupt the integrity or performance of the Platform.

4. Service Level Agreement (SLA) and Availability

Woctor strives to maintain a minimum monthly uptime percentage of 99.9% for the core Platform infrastructure, excluding scheduled maintenance or disruptions caused by external factors. Scheduled maintenance will be communicated at least 48 hours in advance whenever possible. Woctor does not guarantee that the Platform will be error-free or uninterrupted. We provide multi-channel technical support to assist Providers with platform-related issues.

5. Intellectual Property Rights and Ownership

Woctor retains all right, title, and interest in and to the Platform, including all software, source code, design elements, logos, and proprietary algorithms. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for your professional practice. You retain full ownership of all clinical data, patient records, and original content uploaded by you ('Provider Content'). By sharing Provider Content, you grant Woctor a license to host, process, and display such content solely for providing the Services.

6. Data Privacy, Security, and Clinical Confidentiality

Woctor acts as a data processor for the clinical records maintained on the Platform, while the Provider acts as the primary data controller. You are responsible for obtaining all necessary consents from patients before processing their health data via the Platform. Woctor will implement reasonable technical and organizational measures to protect such data. Providers are responsible for maintaining the confidentiality of their account credentials.

7. Fees, Billing, and Financial Obligations

Subscription fees are calculated based on your selected service tier and are billed in advance on a monthly or annual basis. All fees are non-refundable unless explicitly stated otherwise. Late payments may result in suspension of access. Woctor reserves the right to adjust pricing with at least 30 days' notice. You are responsible for all applicable taxes and duties.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Woctor shall not be liable for any indirect, incidental, special, consequential, or punitive damages. In no event shall Woctor's total liability for all claims exceed the total amount paid by you for the services during the twelve (12) months immediately preceding the event giving rise to the claim. We assume no liability for any clinical outcomes, diagnostic errors, or medical malpractice claims resulting from the use of our technical infrastructure.

9. Indemnification

You agree to indemnify, defend, and hold harmless Woctor and its affiliates from any claims, damages, liabilities, and expenses arising from: (i) your use of the Platform; (ii) violation of these Terms; (iii) violation of third-party rights; (iv) damage caused by your Provider Content; or (v) malpractice or clinical negligence claims brought by your patients.

10. Warranties and Disclaimers

The platform and services are provided on an 'as is' and 'as available' basis without warranties of any kind. Woctor does not warrant that the platform will be uninterrupted, secure, or error-free. Any reliance on the platform for critical clinical decision-making is at the provider's sole risk.

11. Term and Termination

These Terms remain in effect until your subscription is terminated. You may terminate at any time by providing 30 days' written notice. Woctor may terminate or suspend access immediately for breach of Terms. Upon termination, you are responsible for exporting your data during the notice period. Backup of data is maintained for 30 days post-termination.

12. Modifications to Terms and Services

Woctor reserves the right to modify these Terms at any time. Material changes will be notified at least 30 days in advance. Continued use of the Platform after revisions become effective constitutes acceptance of the revised terms.

13. Dispute Resolution and Governing Law

These Terms shall be governed by the laws of India. Any dispute shall be first attempted to be settled amicably. If unresolved for 30 days, disputes shall be referred to arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996. The courts in Mumbai have exclusive jurisdiction for matters not covered by arbitration.

14. Miscellaneous Provisions

These Terms constitute the entire agreement between you and Woctor. If any provision is deemed invalid, the remaining provisions regarding the Services shall remain in effect. You may not assign your rights without prior written consent.
